1. Sale Conditioned on Acceptance. Any purchase order or buyer document (s) referencing this quotation shall not result in a contract unless accepted and acknowledged by Alpine Products. Inc.( hereafter "Alpine"). Once accepted buyer may not cancel order without Alpine Products. Inc. written consent and upon such terms as Alpine Products may require to indemnify Alpine Products from all loss.

2. Price/Shipment. Payment of entire net invoice price is due thirty (30) days from date of invoice. Unpaid invoices ( or portions thereof) shall accrue interest at the rate of 1.5% per month. Different terms available only pursuant or written credit agreement between Alpine Products and buyer. Alpine Products may revoke credit, suspend credit or require full or partial advance payment based solely on Alpine Products opinion of buyer. All prices are F.O.B. Alpine Products plant, Auburn, Washington unless otherwise agreed on writing. All shipments at buyer's risk. Alpine Products will not insure buyer's good unless otherwise agreed in writing. Alpine Products reserves the right to reduce the quantity of delivered parts, in which case invoice price shall be adjusted proportionately.

3. Delivery Delays. To maintain competitive pricing, Alpine Products may amend production schedules. Estimated delivery dates are therefore approximate and are not guarantees of delivery on a particular date. Alpine Products will not be liable for damages ( including consequential and incidental damages) for partial, late or nondelivery in any way caused or related to acts of God, war labor difficulties, accident, inability of difficulty in obtaining raw materials, or any other cause outside Alpine Products control.

4. Limited Warranty. In consideration of the price offered. Alpine Products warrants lo the purchaser identified on this invoice only that the products purchased here are free from defects in material and workmanship for ninety (90) days from the date of shipment. Alpine Products makes no warranty on products purchased for use with other products. Material specifications are limited to Alpine Products knowledge of a particular material at the time the products are manufactured and are not continuing warranties of specifications or performance. Alpine Products shall not be liable for incidental, consequential, or property damage resulting from use of its products or any claimed defect therein.

If any Alpine Products product shall prove on inspection to be defective in material or workmanship, Alpine Products obligation hereunder shall be limited to replacement of defective product returned to Alpine Products plant. This limited warranty is conditioned upon purchaser proof that products were inspected within fifteen (15) days of delivery and purchaser providing prompt written notice of any defects claimed. This limited warranty is in lieu of all other express or implied warranties. This warranty gives you specific legal rights including other rights that my vary from state to state. Some stales do not allow limitations or implied warranties or exclusions or limitations of incidental or consequential damages so the limitations and exclusions contained herein may not apply to you.

5. Procedure for Warranty Returns. No warranty returns will be accepted without prior written authorizations. Call Alpine Products for a return goods authorization number {"RGA"). The RGA must be attached to all shipping and related documentation and is valid for thirty (30) days only.

6. Dispute Resolution/Choice of Law. In consideration of the price offered, buyer agrees at Alpine Products option, to submit to mediation any dispute regarding the products sold. Buyer further agrees that any legal action (including mediation} regarding this agreement or the goods sold shall take place in Auburn, Washington and shall be governed by Washington law. The prevailing party in any legal action shall be entitled to reasonable costs and attorneys fees.

7. Entire Agreement/Written Modification Only. There are no terms and conditions of the parties agreement not specified herein and the attached exhibits, if any. These terms and conditions may only be modified by written agreement signed by an Officer of Alpine Products.
